Valor Econômico - 11/04/2008

Yesterday the Marfrig group announced the conclusion of the acquisitions of the companies of the American OSI holding in Brazil and in Europe, agreed last June. The package was closed at R$ 680 million in total - US$ 270 million in cash, US$ 130 million in debts and the rest through 20.1 million recently issued ordinary shares and that guaranteed to the OSI a share of 7.51% in the social capital of the Brazilian conglomerate. When it announced the purchase agreement, a little more than four months ago, Marfrig classified it as its most important step to consolidate itself as a global player in the food market. Yesterday, while confirming the transaction, Ricardo Florence, director of relations with the company's investors, emphasized the relevance of the transaction for the international expansion of the group and said that, with this, Marfrig gets "closer and closer to the consumer". OSI's most important company that had its control transferred to Marfrig under the perspective of the international expansion of the Brazilian group is Moy Park. It is the fourth biggest company of the segment in Ulster, with plants in that country, England, France, and Holland. According to Marfrig, Moy Park is verticalized and produces industrialized raw and added-value chicken. In Brazil, the companies acquired by Marfrig from American OSI are Braslo Produtos de Carnes, which supplies products derived from bovine and poultry meat to fast food chains, Penasul Alimentos, which produces industrialized chicken and pork, and Agrofrango Indústria e Comércio de Alimentos, a poultry slaughterhouse. Penasul is the owner of the Pena Brasil brand, best known in the South of the country.
