Hypermarcas formalizes the purchase of Sanifill

Yesterday, Hypermarcas officially closed the purchase of Facilit, which manufactures oral hygiene products sold under the Sanifill brand. The business was closed at R$ 60.385 million (US$ 34.5 million), an amount below R$ 79 million (US$ 45.1 million) foreseen in the memorandum of understanding announced in early March. Hypermarcas paid R$ 28.785 million (US$ 16.5 million) in cash, upon the transfer of all the stocks of Facilit.  The remainder debt will be paid in five consecutive annual installments, adjusted by the variation of the Interbank Deposit (DI).

The transaction will still be appreciated at the shareholders' meeting that will be "timely convened". The shareholder of Hypermarcas who does not agree with the ratification of this operation may exercise the right of withdraw from the company, with a reimbursement of R$ 5.31 (US$ 3) per share, an amount that corresponds to the book value of the shares of the company based on the financial statements regarding the year of 2009. The right may be exercised even if the shareholder does not attend the meeting or refraining from voting on the acquisition during this meeting.

Hypermarcas said that the acquisition is aligned with the strategic objectives of the company of acquiring brands and assets in the sector of beauty products and personal hygiene, marking its entry into the market of oral hygiene.  The deal with Facilit, as initially announced in March, includes a manufacturing plant in Parana. Facilit had gross earnings of R$ 62.7 million (US$ 31.8 million) last year. The company follows the line to expand the segment of personal hygiene. This year, Hypermarcas plans to expand and adjust its already existing product line and invest in points-of-sale.
